Baker & McKenzie advised Metinvest
Baker & McKenzie acted as English, U.S., Dutch and Ukrainian legal counsel to the mining and steel company Metinvest B.V. on the establishment of its USD 1 billion Guaranteed Medium Term Note Program, as well as on the first USD 750 million bond issue under the Program. This transaction follows Metinvest's debut Eurobond offering in May 2010.
The first bond issue under the Program was structured as an issue of 8.75% Guaranteed Notes due 2018 with a listing on the Global Exchange Market of the Irish Stock Exchange.
The Baker & McKenzie team was led Kiev co-managing partner Serhiy Chorny. Support was provided by Kiev associate Oleksandr Svyryd.
Credit Suisse Securities (Europe) Limited, Deutsche Bank AG, London Branch, ING Bank N.V., London Branch, The Royal Bank of Scotland PLC, Sberbank of Russia and VTB Capital plc acted as dealers and arrangers for the Program, and Avellum Partners LLC acted as adviser.
The Avellum Partners team was led by partner Glib Bondar with significant input from associates Iryna Nikolayevska, Volodymyr Solohub, Mykyta Nota, Oleksandr Polonyk, Sergii Zheka and Taras Dmukhovskyy.
