Merger clearance for ENI’s purchase of Exxon-Mobil downstream activities in Austria
The purchase of Mobil Oil Austria GmbH and Esso Austria GmbH by Italian energy company ENI has been successfully cleared by the European Commission. After advising on the takeover in January, Central European law firm Schoenherr also advised ENI throughout the merger control proceedings.
With a view to strengthening its existing downstream business in Austria (operated by Eni’s local affiliate Agip), Eni acquired Exxon Mobil’s oil downstream activities in Austria, including a retail network with 135 service stations, the Industrial & Wholesale (I&W)) business and the aviation business at the Vienna and Linz airports, including a 28.6% share in the proprietary joint venture for logistical assets at Vienna airport. Also included is a Supply & Distribution business with its 33.3% participation in the Salzburg terminal joint venture.
The European Commission conducted a thorough analysis of the Austrian wholesale and retail markets at national and local levels. The market investigation confirmed that the transaction will not give rise to concerns about competition. Schoenherr partner Franz Urlesberger and junior partner Christoph Haid advised ENI on the merger clearance.
